Extract of sample "The Concept of Business Law"

Assume responsibility for the safety of the service provider and its personnel while in the course duty. Ensure a favourable working environment by securing the facility from intrusion. Provide for service delivery necessities. Offer a minimum of three months notice for termination of the contract before a year-end. Be available for consultation with the service provider to ensure effective and efficient performance.

Restrain from activities that can delay service delivery subject to the predetermined schedule. The service provider shall undertake the following obligations. Perform cleaning services as per the predetermined schedule. Ensure proper handling of the office facility during cleaning exercises. Ensure quality service delivery and recruit competent personnel for cleaning. Notify the client of the state of any office equipment that may compromise service delivery or may be at risk of damage during cleaning processes.

Notify the client of realized hindrances or threats to the hindrance of service delivery. Offer a minimum of three months notice for termination of the contract before a year-end. Breach of the contract shall be enforceable under common law provisions and definitions of elements of a contract. A breach of contract shall be considered when one of the parties fails, without due reason, to perform any of the express terms of the contract. The failure may be expressed and communicated to the other party or may be implied by a party’s conduct (Goldman and Sigismond 226).

Remedies for breach of contract will be the mode of enforcing the contract and will be implemented through mutual agreement of the parties, and where agreement cannot be reached, through litigation processes. Specific performance will be the principal remedy for breach of the contract unless it is terminated by a legally recognized cause (Bose 75). Breach of the contract without substantial financial implication to the offended party will generate liquidated damages with an equivalent value to the benefits that the offended party would have derived for the remaining period for which the contract would run (Miller and Jentz 296).

Payment The Client shall pay a sum of $ 7000 per month. The amount shall be paid through the service’s provider’s bank account and shall be made on the fifth day of the following month of service, or the first working day if the day after the fifth day of the month is a public holiday or a weekend. Modification of terms to the contract shall be on mutual agreement between the client and the service provider and shall be supported by consideration. Such modifications shall also be in writing (Mann and Roberts 208).
